Terms of Service

Last updated: [date]

Template terms for a B2B lead-generation service with credit-based pricing. Fill in the placeholders and have counsel review them before you publish.

Draft: have counsel review before launch

This is template text, not legal advice. Fill in every highlighted [placeholder] and have a lawyer who knows your jurisdictions review it before you publish.

1. The agreement

These terms are a contract between you (or the organisation you represent) and [Company legal name] ("FoxKnock"). By creating an account or using FoxKnock you accept them. If you accept on behalf of an organisation, you confirm you can bind it.

2. The service

FoxKnock helps you find companies and contacts, research them, draft outreach and manage replies. We may change, add or remove features, and we will give notice of changes that materially reduce what a paid plan does.

The Free plan is provided for evaluation and may have lower limits. Demo data that FoxKnock generates when no provider key is configured is labelled as such and is not real.

3. Accounts and workspaces

You must give accurate information and keep your credentials safe. You are responsible for what happens in your account, including actions by people you invite. Tell us promptly about unauthorised use. Each workspace is separate: data, mailboxes, suppression lists and approvals are not shared between workspaces.

4. Acceptable use

You agree to use FoxKnock lawfully and only to contact people you have a lawful reason to contact. You will not:

  • send unsolicited email that breaks the law where the recipient lives (for example CAN-SPAM, GDPR and ePrivacy rules, PECR and CASL), or ignore unsubscribe requests;
  • send deceptive, misleading, harassing, infringing or illegal content, or impersonate another person or organisation;
  • use FoxKnock to scrape LinkedIn or any site in breach of its terms, or load data you have no right to use;
  • bypass sending limits, credit limits, approval steps or security controls, or probe, overload or reverse-engineer the service;
  • resell the service or give access to people outside your plan's seats and workspaces.

We may pause a mailbox, sequence or account that breaks these rules or that crosses bounce or complaint limits, and we may tell you why.

5. Your content and lead data

You keep all rights in the content and lead data you put into FoxKnock. You give us a licence to host, process and transmit it only to provide the service to you. You are the controller of lead data and we are your processor: our [data processing addendum] applies and forms part of these terms.

You are responsible for having a lawful basis for contacting each person, for the accuracy of what you send, and for following the rules of each country you contact. FoxKnock's country rule packs and notices are tools to help you, not legal advice.

6. AI features

FoxKnock uses AI to research, score, write and classify. AI output can be incomplete or wrong, and sources can change. You must review what you send. Unless you turn on automatic sending for a sequence that has earned it, nothing is sent without your approval, and you remain responsible for every message sent from your mailboxes.

7. Credits, plans and billing

  • One credit has a list value of $0.01. The price of each action is shown in the app and on the pricing page before you use it.
  • Credits are charged only when an action succeeds. Failed lookups cost nothing, and credits for an email we verified as valid that then hard-bounces are refunded.
  • Credits do not expire while your account is open. [State what happens to unused credits when an account is closed.]
  • Paid plans renew monthly until cancelled. You can cancel in the app at any time and the plan runs to the end of the paid period. Fees already paid are not refunded except as these terms or the law require: [refund policy].
  • You can set a monthly cap on credit spend. We may change prices for new periods with at least [30] days' notice.
  • Fees exclude taxes. Payments are processed by Stripe.

8. Third-party services and your own keys

FoxKnock works with third-party providers for data, search, email finding, verification and AI. We are not responsible for what they provide. If you add your own provider keys, your agreement with that provider applies and you pay them directly.

9. Email sending

Email is sent from mailboxes you connect. You are responsible for your domains, DNS records and sender reputation. FoxKnock applies caps, a ramp-up and auto-pause to protect them, but cannot guarantee inbox placement or reply rates.

10. Privacy and security

Our Privacy Policy and Security overview describe how we handle data. We maintain the safeguards described there and will tell you without undue delay about a personal-data breach that affects your workspace.

11. Intellectual property and feedback

FoxKnock, its software, design and documentation belong to us and our licensors. We give you a limited, revocable, non-transferable right to use the service during your subscription. If you send us feedback we may use it without obligation to you.

12. Availability and support

We aim to keep the service available but do not promise uninterrupted operation. Support: [channels and response times]. [Describe any service-level commitment for paid plans, or state that none applies.]

13. Term and termination

You can stop using FoxKnock and delete your account at any time. We may suspend or end your access for material breach, non-payment or legal reasons, giving notice where we can. After termination you can export your data for [30] days, after which we delete it as described in the Privacy Policy.

14. Disclaimers

The service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose, accuracy of third-party data and non-infringement. [Check consumer-law carve-outs for your jurisdictions.]

15. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental or consequential damages or for lost profits, revenue or data, and our total liability for all claims in any twelve-month period is limited to [the fees you paid in the twelve months before the claim]. Nothing in these terms limits liability that cannot be limited by law. [Counsel to confirm the cap and exclusions.]

16. Indemnity

You will defend and compensate us against claims arising from content or lead data you load, messages you send, or your breach of these terms or the law, except to the extent we caused the claim. [Counsel to confirm scope.]

17. Governing law and disputes

These terms are governed by the laws of [jurisdiction], and the courts of [venue] have exclusive jurisdiction, except where mandatory consumer or data-protection law gives you other rights.

18. Changes and contact

We may update these terms. We will give account owners at least [30] days' notice of material changes by email or in the app, and continued use after that means you accept them. Questions: [legal contact email], [postal address].
